Welcome to Beyond Red Ocean Consulting. These Terms and Conditions ("Terms") govern your engagement with our consulting, coaching, training, and advisory services. By engaging with us, you agree to the following terms.

1. Scope of Services

Beyond Red Ocean Consulting provides business consulting, coaching, training programs, and strategic advisory services. The scope, deliverables, and timelines will be defined in a separate proposal, agreement, or engagement letter.

We reserve the right to modify or refine the scope based on mutual discussion and evolving business needs.

2. Client Responsibilities

The client agrees to:

• Provide accurate, complete, and timely information
• Ensure availability for scheduled sessions or meetings
• Implement agreed strategies and recommendations
• Maintain professionalism and respectful communication

Results are dependent on the client’s execution and commitment.

3. Fees and Payment Terms

• All fees will be specified in the proposal or invoice
• Payments must be made as per the agreed schedule
• Delayed payments may result in suspension of services
• Fees are non-refundable unless explicitly stated otherwise

Any additional services outside the agreed scope will be billed separately.

4. Confidentiality

Both parties agree to maintain strict confidentiality of all shared business, financial, and strategic information.

We will not disclose client information to any third party without consent, unless required by law.

5. Intellectual Property

• All frameworks, methodologies, tools, and content provided by Beyond Red Ocean Consulting remain our intellectual property
• Clients are granted a limited, non-transferable license to use materials for internal business purposes only
• Redistribution, resale, or replication without permission is prohibited

6. No Guarantees of Results

While we strive to deliver measurable outcomes, we do not guarantee specific financial or business results.

Success depends on multiple factors including execution, market conditions, and internal capabilities.

7. Limitation of Liability

Beyond Red Ocean Consulting shall not be liable for:

• Indirect or consequential losses
• Business interruptions
• Loss of revenue or profits

Our total liability shall not exceed the fees paid for the services.

8. Termination

Either party may terminate the engagement with written notice.

• Any work completed up to the termination date will be billed
• No refunds will be issued for completed or partially delivered services

9. Rescheduling and Cancellations

• Sessions must be rescheduled at least 24 hours in advance
• Missed sessions without notice may be forfeited

10. Use of Branding and Testimonials

We may request permission to use client logos, testimonials, or case studies for marketing purposes. This will only be done with prior consent.

11. Force Majeure

We are not responsible for delays or failure in performance due to events beyond our control, including but not limited to natural disasters, technical failures, or government restrictions.

12. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India.

13. Amendments

We reserve the right to update these Terms at any time. Continued engagement constitutes acceptance of the revised Terms.
